  • Maryland accepts the Uniform Application to Register Securities (Form U1), and does not allow for electronic signature of forms.
  • Registration requires filing or delivery of:
    • Filing fee
    • Application form
    • Financial statements
    • A Consent to Service of Process (Form U2)
    • SEC Form 1-A with exhibits
    • Form U-2A
    • If the issuer knows who the selling agent will be at the time of the filing, it should inform Maryland of that in a cover letter
  • Maryland collects a variable fee. The filing fee is 0.1% of the maximum aggregate offering price being offered in the State, with a minimum fee of $500 and a maximum fee of $1500.
