I. Registration Fees.

  • Investment Adviser: $300.
  • Investment Adviser Representative: $75.

II. Financial & Bonding Requirements. An IA with discretionary authority is required to have a minimum net worth of $10,000 or a surety bond of $35,000. An IA with custody of client funds or securities is required to have of minimum net worth or a surety bond of $35,000. Audited financial statements are required for IAs with custody, and a CPA must conduct a surprise audit.

III. Sole Proprietorships. If an IA is a sole proprietorship, the proprietor is not required to pay an IAR registration fee or file a Form U4.

IV. De Minimis. An IA with no place of business in NC is not required to register until it has had more than 5 clients, within the past 12 months, who are residents of NC.

V. Other Required Documents.

  • Signed financial statements.
  • Signed surety/fidelity bond.
